Terms of Service

These terms form a contract between Clearpath Labs Ltd ("we", "us") — trading as SmashSEO — and the person or entity that signs up for an account ("you"). By creating an account or using the Service you agree to these terms.

1. The Service

SmashSEO provides a content marketing platform with site audits, multi-month content plans, and brand-voice article generation (together, the "Service").

2. Your account

You are responsible for keeping your login credentials secret. Do not share account access across unrelated parties. You must use one account per legal entity. If you suspect your credentials are compromised, rotate them immediately.

3. Acceptable use

You may not:

  • use the Service to produce content that is unlawful, defamatory, infringing, or designed to deceive readers;
  • attempt to extract the underlying models, prompts, or training data;
  • circumvent rate limits, share keys across unrelated parties, or operate the Service on behalf of a third party without our written agreement;
  • attempt to disrupt, reverse-engineer, or probe the Service for vulnerabilities outside a coordinated disclosure.

4. Billing

Paid plans are billed monthly or annually via Stripe. Subscriptions renew automatically until you cancel. Overage (usage beyond plan allowances) is billed at the rate shown on the pricing section. Prices are exclusive of VAT where applicable. Refunds are at our discretion and only considered for clear billing errors.

5. Allowances

Each plan includes a monthly allowance of content plans, site audits, and articles. Allowances reset at the start of each billing cycle and do not roll over. You can purchase add-ons for extra capacity any time.

6. Availability

We operate the Service on a best-effort basis and do not offer a contractual uptime SLA prior to general availability. We will work in good faith to keep the Service running and to communicate significant incidents.

7. Your data

Our handling of personal data is described in the Privacy Policy. You retain ownership of any data you submit to the Service, and of the articles generated for you. You grant us the rights necessary to operate the Service on your behalf.

8. Intellectual property

The SmashSEO brand, software, and documentation are owned by Clearpath Labs Ltd. You receive a limited, non-exclusive licence to use the Service in accordance with these terms.

9. Termination

You can cancel your subscription or delete your account at any time. We may suspend or terminate accounts that breach these terms, abuse the Service, or fail to pay. On termination, access ceases immediately; paid fees for the current period are non-refundable.

10. Liability

To the maximum extent permitted by law, our total liability to you under these terms is capped at the fees you paid us in the twelve months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential loss. Nothing in these terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under UK law.

11. Changes

We may update these terms from time to time. Material changes will be notified by email and take effect 30 days after notice. Continued use of the Service after that date means you accept the updated terms.

12. Governing law

These terms are governed by the laws of England and Wales. Disputes will be handled by the courts of England and Wales.
